No, the buyback of share upto 10% of the company’s paid up equity share capital and reserves can be done without passing shareholders resolution.

However, for companies who intend to repurchase shares to the extent of more than 10% of its total paid-up capital and reserves, it is important to get shareholders’ approval by passing special resolution.
